Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the Heavy Chef mobile application (the "App"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Heavy Chef (Pty) Ltd, a company registered in South Africa ("Heavy Chef", "we", "us", or "our"). If you do not agree to these Terms, do not use the App.

2. Description of Service

Heavy Chef is a learning platform designed for entrepreneurs. The App provides educational content, resources, courses, and community features to help entrepreneurs develop their skills and grow their businesses ("Services"). We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.

3. Eligibility

You must be at least 18 years of age to use the App. By using the App, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

4. User Accounts

4.1 Account Registration

To access certain features of the App, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at [email protected] of any unauthorised use of your account. We are not liable for any loss or damage arising from your failure to protect your account.

4.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms or engage in conduct we deem harmful to the App, other users, or our business.

5. Subscriptions and Payments

5.1 Auto-Renewable Subscriptions

The App offers auto-renewable subscription plans that provide access to premium content and features. By purchasing a subscription, you agree to the following:

• Payment will be charged to your Apple ID account at confirmation of purchase.
• Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current subscription period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period.
• You can manage and cancel your subscription in your device's Account Settings after purchase.
• No refund is provided for any unused portion of a subscription period when a subscription is cancelled.

5.2 Price Changes

We reserve the right to change subscription prices. You will be notified of any price changes and given the opportunity to accept the new price or cancel your subscription before the change takes effect.

5.3 Free Trials

We may offer free trial periods for subscription plans. If you do not cancel before the trial period ends, you will be charged the applicable subscription fee.

5.4 Apple Terms of Use (EULA)

Purchases made through the App are subject to the Apple Media Services Terms and Conditions. The standard Apple End User Licence Agreement (EULA) applies to all App content: https://www.apple.com/legal/internet-services/itunes/dev/stdeula/

6. Content and Intellectual Property

6.1 Our Content

All content available through the App, including text, images, video, audio, and course materials, is owned by or licensed to Heavy Chef and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

6.2 User Content

You retain ownership of any content you submit or post through the App ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free licence to use, display, and distribute your User Content solely for the purpose of operating and improving the Services.

6.3 Prohibited Content

You agree not to submit content that:

• Is unlawful, defamatory, harassing, or fraudulent.
• Infringes the intellectual property rights of any third party.
• Contains viruses or other malicious code.
• Violates the privacy of any person.

7. Privacy and Personal Information

Your privacy is important to us. Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, and share your personal information in compliance with the Protection of Personal Information Act, 4 of 2013 (POPIA) and other applicable laws. By using the App, you consent to our data practices as described in the Privacy Policy.

We collect account information, profile data, and usage information to operate and improve the Services. We do not sell your personal information to third parties.

8. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorised access to any part of the App or its related systems.
• Interfere with or disrupt the integrity or performance of the App.
• Use automated means to access or scrape content from the App.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

9. Disclaimers

The App and Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components. Educational content provided through the App is for informational purposes only and does not constitute professional business, legal, or financial advice.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Heavy Chef (Pty) Ltd and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the App, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or your use of the App shall not exceed the total amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Heavy Chef (Pty) Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the App, your User Content, or your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa. We encourage you to contact us first to resolve any dispute informally.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes through the App or by email. Your continued use of the App after the effective date of any changes constitutes your acceptance of the updated Terms.
